Terms of Service

These Terms of Service ("Terms") govern engagements between Past The Click, operated by Alex Rebull Caballero ("we," "us," "Past The Click"), and the business engaging our services ("you," "Client"). By engaging Past The Click, you agree to these Terms together with the specific scope, fees, and duration set out in your Service Agreement or proposal.
1. Services
Past The Click provides fractional international growth consulting, delivered as one of the following engagement types:
Presence — strategic direction across intelligence, visibility, content authority, and technical foundation for a business's current market, including a full audit in month one, monthly strategy sessions, and a monthly Presence Index report.
Expansion — everything in Presence, extended across two markets simultaneously, including market intelligence, international architecture strategy, and localisation guidance for the target market.
Additional services — content production, paid media management, web development — are scoped and agreed separately and are not included in Presence or Expansion unless explicitly stated in your Service Agreement.
The specific scope, fees, and minimum term for your engagement are set out in your Service Agreement or proposal, which forms part of these Terms.
2. Engagement Process
Engagements typically begin with a discovery call, followed by a scope agreement defining objectives and boundaries, and a first-month audit across the relevant pillars.
3. Fees and Payment
Fees are billed monthly in advance, as set out in your Service Agreement. Invoices are due within 14 days of issue.
4. Minimum Term and Renewal
Presence engagements have a minimum term of 6 months; Expansion engagements have a minimum term of 12 months, from the start date set out in your Service Agreement. After the minimum term, engagements continue on a month-to-month basis unless terminated as set out in Section 5.
5. Termination
5.1 During the minimum term, neither party may terminate this engagement except for material breach of these Terms or non-payment of fees by the Client.
5.2 Past The Click may, at its sole discretion, agree to end the engagement early at the Client's request. In that case, an early-termination fee applies, calculated as 50% of the fees remaining for the minimum term.
5.3 After the minimum term, either party may terminate this engagement with 30 days' written notice.
6. Client Responsibilities
To deliver these services effectively, you agree to provide timely access to relevant accounts and data (e.g. Google Search Console, analytics, content management systems) and to make reasonable efforts to act on monthly direction within agreed timeframes. Delays in providing access or acting on direction may affect results and timelines, and Past The Click is not responsible for outcomes affected by such delays.
7. Confidentiality
Both parties agree to keep confidential any non-public business information shared during the engagement — including strategy, performance data, and account access — and not to disclose it to third parties without consent, except as required by law.
8. Intellectual Property
Past The Click retains ownership of all deliverables produced during the engagement, including audits, strategy documents, reports, content outlines, and the frameworks and methodologies used to produce them (including the Presence Index and Strategic Engine). The Client is granted a non-exclusive licence to use these deliverables for their own business purposes, during the engagement and thereafter.
9. No Guarantee of Results
Past The Click provides strategic direction, analysis, and oversight based on professional judgment and current best practices. Search engine and AI platform behaviour is determined by third parties outside our control, and outcomes depend on factors including the Client's market, competitive landscape, and execution of agreed direction. Past The Click does not guarantee specific rankings, traffic, visibility, or revenue outcomes.
10. Limitation of Liability
To the maximum extent permitted by law, Past The Click shall not be liable for any loss or damage arising from or in connection with the services — including any rankings, traffic, visibility, or revenue outcomes, or any decisions the Client makes based on the direction provided. Past The Click provides advice, analysis, and direction only; it does not execute changes on the Client's behalf, does not control third-party search or AI platforms, and is not responsible for outcomes that depend on the Client's execution or on factors outside its control, such as search engine or AI algorithm changes. Where liability cannot be excluded by law, Past The Click's total aggregate liability is limited to the total fees paid by the Client in the three (3) months preceding the event giving rise to the claim. Past The Click is not liable for indirect, incidental, or consequential damages, including loss of profits, revenue, or data. Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, such as for fraud, wilful misconduct, or gross negligence.
11. Governing Law
These Terms are governed by the laws of Spain.
12. Changes to These Terms
We may update these Terms from time to time. Material changes affecting active engagements will be communicated directly; continued engagement after such changes constitutes acceptance.
